Its a free upgrade so long as you have Win7 64-bit disc, though Win7 now comes with 64-bit by default so if you have Win7 disc you should be right.

Sort of. When you insert the 64bit disc, it counts as an 'upgrade' - you keep all your files and such.
EDIT: Whoops, sorry, I meant MOST of your files. Sometimes your computer will contain files/programs that can't handle the upgrade, and you'll have to reinstall them.
