I appreciate Nintendo 64's graphics much more than Xbox360/PS3/Wii.
Actually, a lot of players only play things with good graphics. You'd be surprised.
Brawl is filled with copy-paste, cheap, characters.
That Nintendo made.
You only get to play on one stage, and you can't use half the features of offline play.
Now I know you've never played it. I've unlocked everything.
There is a good list of reasons why it is terrible.

You can play on multiple stages online on Brawl, and it's features compared to offline play aren't that limited if at all. The only thing that makes it bad is the lag which is the first thing you should've stated.
