Whats the difference?

I need a keyboard that allows more than two keys pressed at once.

Only if you need one.  Anti-ghosting, aka ability to press more than a few keys at the same time, is a useful feature.  Make sure the keyboard you're looking at has that feature if you want it before you buy it.  Personally I don't care for it too much, but my keyboards have to have media buttons that are compatible with WMP.

My cousin's told me not to get it only because its made by Madcatz.

Also don't you know the R.A.T 9 has been out for a while?

You should sell your old one and upgrade.
