pros of downloading:
 - you get to uninstall purchased games and redownload them off the eshop
 - you don't get forgeted via possible accidental cartridge tilts
 - you don't have to worry about losing your cartridges because there are none
 - ULTRA useful if you don't have any nintendo shops in your city

cons of downloading:
 - if you have the default 2gb SD card and/or a slow download speed You Are forgeted

to elaborate: pokemon x takes up ~90% of the space and only leaves room for the (stuffty) free youtube app. if you plan on downloading get a better SD card asap.

wow really? didn't even know about that
but if your 3ds gets stolen all your games are gone :(

i've never had a cartridge stolen, probably because i always keep them in the boxes
