PAX is smaller, and E3 is also where big game companies go. PAX is more for indie developers.

It's actually pretty easy to make fake PAX badges if you really really want to get in. There's always the probability of being turned away if your forgery is detected though. I mean, the worst thing that could happen is you get angrily turned away.
