It's not the same, its unlocked and can be pushed hard to become a really powerful CPU, plus by getting a new mobo you leave yourself room for easier and newer upgradability.

i understand, but i would never OC anyways because i dont trust that stuff.

That's understandable but the G3258 being a less complicated CPU is much more tolerant of overclocking as long as you have adequate air cooling and don't wrap your PC case in a towel and suffocate it.

lold too hard.

first thing i'd have to do is import all my parts into a new case since mine is slimline. maybe new mobo and cpu? a mobo with average integrated graphics? unless i can afford a card and psu too.

You dont need a fancy schmancy PSU and can get a relatively good one for around ~$40 but you don't want the cheapest PSU out there, since a bad PSU can burn down your house or destroy your PC if it fails, so you want a reputable and tolerated PSU. The GPU I'd actually be recommending is around $150 (it is as low as $110 if rebates are counted), the GTX 750 Ti (it does not require any power connectors depending on the brand), but its performance per dollar is absolutely ungodly. A GPU is technically optional though, and i'm not sure if you can squeeze $150 into the budget.

Oh.. and you also need RAM. Cheapest reputable DDR3 4GB RAM I could find was the Pareema 4GB stick for $37.99.

not even sure if im gonna have 300 lets see.

PCPartPicker part list: http://pcpartpicker.com/p/tTBzhM
Price breakdown by merchant: http://pcpartpicker.com/p/tTBzhM/by_merchant/

CPU: Intel Pentium G3258 3.2GHz Dual-Core Processor  ($74.99 @ Newegg)
Motherboard: MSI Z97 PC MATE ATX LGA1150 Motherboard  ($89.99 @ Newegg)
Memory: Pareema 4GB (1 x 4GB) DDR3-1333 Memory  ($37.99 @ Newegg)
Video Card: MSI GeForce GTX 750 Ti 2GB TWIN FROZR Video Card  ($119.99 @ Newegg)
Power Supply: EVGA 430W 80+ Certified ATX Power Supply  ($30.98 @ Newegg)
Total: $353.94
Prices include shipping, taxes, and discounts when available

Preliminary part list. Now, hold your horses, $350, that is overbudget, but check the graph at the bottom of the PCPartPicker and you'll see that it fluctuates quite frequently with the total price shown to dip right to at $300. (ignore the early ~$200 that was before Pareema was first sold online)

Still, optimizations can be done if you already have RAM you can use, but if its DDR2, it wont work.

Lastly, are you going to reuse your windows product key for Windows and how about a case and a hard drive, do you already have those that you can use?
